Terms of Service

Welcome to Alcotrade.app ("Alcotrade", "the Service", "the Platform"). By accessing or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.
1. Definitions
- "Operator" means Nie Przelewki Sp. z o.o., a sole proprietorship registered in Poland, operating the Alcotrade platform.
- "Service" means the Alcotrade.app web application, including all features, tools, content, and related services.
- "User" means any individual or entity that registers for and uses the Service.
- "Profile" means the business profile created by a User on the Platform, containing company information, contact details, and business activity descriptions.
- "Member" means a User whose Profile has been approved by the Operator and who has been granted full access to the Platform.
- "Content" means any text, data, information, or materials submitted by Users to the Service.
2. Description of the Service
Alcotrade is a closed B2B networking platform designed for the alcohol industry in Poland. The Platform connects producers, distributors, retailers, HORECA operators, importers, exporters, packaging manufacturers, event organizers, and service providers within the alcohol industry.
The Service facilitates business networking by allowing Members to create Profiles describing their business activities, offerings, and needs, and to discover potential business partners through the Platform's search and matching features.
Closed Beta: The Service is currently operating in a closed beta phase. Features, availability, and terms may change as the Platform develops. The Operator reserves the right to limit the number of Users during the beta period.
3. Registration and Account
3.1 Eligibility
The Service is intended for business professionals and entities operating in the alcohol industry. By registering, you represent that:
- You are at least 18 years old.
- You have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.
- Your use of the Service is related to legitimate business activities in the alcohol industry or a related sector.
3.2 Account Creation
To use the Service, you must create an account by providing a valid email address. Authentication is handled via a magic link sent to your email or through a password you set after initial registration. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
3.3 Profile Creation and Admin Approval
After creating an account, you must complete your business Profile. All Profiles are subject to review and approval by the Operator ("Admin Approval"). The Operator reserves the right to approve or reject any Profile at its sole discretion, without providing reasons. Only Users with approved Profiles are granted full access to the networking features of the Platform.
The Admin Approval process is designed to ensure that only genuine businesses in the alcohol industry participate on the Platform. The typical review period is up to 24 hours, although this may vary.
3.4 Accuracy of Information
You agree to provide accurate, current, and complete information during registration and Profile creation, and to keep such information updated. The Operator reserves the right to suspend or terminate accounts that contain false, misleading, or outdated information.
4. User Obligations
By using the Service, you agree to:
- Use the Service only for lawful business purposes related to the alcohol industry.
- Provide truthful and accurate business information in your Profile.
- Respect the privacy and confidentiality of other Members' information.
- Not use information obtained through the Platform for unsolicited commercial communications (spam).
- Not attempt to circumvent any security features of the Service.
- Comply with all applicable laws, including those governing the production, distribution, and sale of alcoholic beverages in Poland.
- Not share your account credentials with third parties.
5. Prohibited Content and Conduct
The following are strictly prohibited on the Platform:
- False or misleading business information, including fictitious company names, fabricated registration numbers, or misrepresentation of business activities.
- Content that violates any applicable law or regulation, including alcohol advertising regulations.
- Harassment, threats, defamation, or abusive behavior directed at other Users or the Operator.
- Scraping, data mining, or automated extraction of data from the Platform.
- Attempting to access other Users' accounts or the Platform's infrastructure without authorization.
- Uploading malicious code, viruses, or any software intended to damage or compromise the Service.
- Using the Platform to promote activities unrelated to the alcohol industry or its supporting sectors.
- Reselling, sublicensing, or commercially exploiting access to the Service.
6. Intellectual Property
6.1 Platform Content
All content, design elements, software, trademarks, and other intellectual property associated with the Service are owned by or licensed to the Operator. You may not copy, modify, distribute, or create derivative works based on the Platform's design, code, or branding without the Operator's express written consent.
6.2 User Content
You retain ownership of the Content you submit to the Service. By submitting Content to the Platform, you grant the Operator a non-exclusive, worldwide, royalty-free license to use, display, and distribute such Content solely for the purpose of operating and providing the Service. This license terminates when you delete your Content or your account, except where your Content has been shared with other Members prior to deletion.
7. Privacy and Data Protection
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal data in accordance with the General Data Protection Regulation (GDPR) and applicable Polish data protection law. By using the Service, you acknowledge that you have read and understood the Privacy Policy.
8. Limitation of Liability
8.1 Service Provided "As Is"
The Service is provided on an "as is" and "as available" basis, particularly during the closed beta phase. The Operator makes no warranties, express or implied, regarding the reliability, availability, accuracy, or fitness for a particular purpose of the Service.
8.2 No Guarantee of Business Outcomes
The Operator does not guarantee any business outcomes, transactions, or partnerships resulting from the use of the Platform. The Platform facilitates introductions between businesses but is not a party to any agreements or transactions between Users.
8.3 Limitation of Damages
To the maximum extent permitted by applicable law, the Operator shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service. The Operator's total liability for any claim arising from these Terms or the Service shall not exceed the amount you have paid to the Operator in the twelve (12) months preceding the claim, or PLN 500, whichever is greater.
8.4 Third-Party Services
The Service may integrate with or rely on third-party services (such as Supabase for authentication and database, Cloudflare for hosting, and Brevo for email delivery). The Operator is not responsible for the availability, performance, or policies of these third-party services.
9. Account Suspension and Termination
9.1 Termination by User
You may terminate your account at any time by contacting the Operator at [email protected]. Upon termination, your Profile will be removed from the Platform and your data will be handled in accordance with our Privacy Policy.
9.2 Termination by Operator
The Operator reserves the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:
- Violation of these Terms.
- Providing false or misleading information.
- Engaging in prohibited conduct.
- Inactivity for an extended period.
- At the Operator's sole discretion during the closed beta period.
9.3 Effect of Termination
Upon termination, your right to access and use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall remain in effect, including but not limited to Sections 6, 8, and 11.
10. Changes to Terms
The Operator reserves the right to modify these Terms at any time. Changes will be communicated by updating the "Last updated" date at the top of this page and, where material changes are made, by notifying Users via email. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service and may request account deletion.
11. Dispute Resolution and Governing Law
11.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Poland, without regard to its conflict of law provisions.
11.2 Amicable Resolution
In the event of any dispute arising from or relating to these Terms or the Service, the parties shall first attempt to resolve the matter amicably through direct negotiation. You may contact the Operator at [email protected] to initiate such discussions.
11.3 Jurisdiction
If amicable resolution is not achieved within thirty (30) days, any dispute shall be submitted to the exclusive jurisdiction of the competent courts in Poland, specifically the court having jurisdiction over the Operator's registered seat.
11.4 Consumer Rights
Nothing in these Terms shall limit the statutory rights of consumers under applicable Polish or European Union law.
12. Miscellaneous
12.1 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
12.2 Entire Agreement
These Terms, together with the Privacy Policy and the Cookie Policy, constitute the entire agreement between you and the Operator regarding your use of the Service.
12.3 Waiver
The failure of the Operator to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
12.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without the Operator's prior written consent. The Operator may assign its rights and obligations without restriction.
